Membership Certificates


A corporation is required to keep certain records at its registered office or at some other location in Canada chosen by the board of directors. These records must include the following:

a. articles of the corporation
b. by-laws;
c. resolutions of members
d. if any debt obligations are issued by the corporation, a debt obligations register;
e. a directors register;
f. an officers register;
g. a members register;
h. director’s meeting minutes;
i. director’s resolutions; and
j. Banking Resolution.
